This Web site (www.mixedink.com, or any replacement site, the "Site") is operated by MixedInk LLC ("MixedInk," "we," or "us") to provide you with information about us. MixedInk may, in its sole and exclusive discretion: delete any of (or all of) your Submissions from the Site; discontinue, move, merge, rename, or change the URL for a MixedInk topic for any reason or no reason; terminate your membership to MixedInk; block your ability to setup new topics on the Site; block your ability to view, write, edit, comment, or rate Submissions on the Site; block your ability to create or access a group or individual page on the Site; block your IP address and restricting access to the Site; remove any MixedInk topic from the site and blockediting, writing, commenting, rating and/or viewing; and remove any Content or Submissions for any reason, including, but not limited to, violation of these Terms. PROPRIETARY CONTENT MixedInk respects the intellectual property rights of others and expects you to do the same. OTHER USE OF SUBMISSIONS MixedInk permits anyone to access and freely copy your submissions to the Site under a Creative Commons Share-Alike Attribution 3.0 License (the "License"). MixedInk is not liable for any failure by a third-party to adhere to the attribution requirements or any other elements of these Terms when republishing Submissions created using the Site. All Submissions to the Site, whether Submissions have a single author or multiple authors, are published under the License. IN A JURISDICTION THAT DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, THE LIABILITY OF MIXEDINK, ITS CONTRACTORS, SUPPLIERS, CONTENT-PROVIDERS, AND OTHER SIMILAR ENTITIES, AND THE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS OF EACH OF THE FOREGOING, SHALL BE LIMITED IN ACCORDANCE WITH THESE TERMS TO THE FULLEST EXTENT PERMITTED BY LAW. WITHOUT LIMITING ANY OF THE FOREGOING, IF MIXEDINK, ITS CONTRACTORS, SUPPLIERS, CONTENT-PROVIDERS, OR OTHER SIMILAR ENTITIES, OR ANY OF THE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, OR AGENTS OF ANY OF THE FOREGOING, IS FOUND LIABLE TO YOU OR TO ANY THIRD-PARTY AS A RESULT OF ANY CLAIMS OR OTHER MATTERS ARISING UNDER OR IN CONNECTION WITH THESE TERMS, THE SITE, OR THE USE OF THE SITE, MIXEDINK AND SUCH PARTIES' CUMULATIVE, AGGREGATE AND MAXIMUM LIABILITY FOR ALL SUCH CLAIMS AND OTHER MATTERS IN ANY CALENDAR YEAR SHALL NOT EXCEED $100. INDEMNIFICATION You agree to indemnify, defend and hold MixedInk, and the officers, directors, employees and agents of MixedInk, harmless from and against all claims, demands, suits or other proceedings, and all resulting loss, damage, liability, cost and expense (including reasonable attorneys' fees), brought by any third-party in connection with or arising out of content, data, or information that you submit, post to, or transmit through the Site or MixedInk, your access to and use of the Content, the Site and other materials, products and services available on or through the Site and MixedInk, your violation of these Terms, or your violation of any rights of another. We reserve, and you grant to us, the right to assume exclusive defense and control of any matter subject to indemnification by you.
